Terms of Service
Last updated: 30 September 2026
These Terms govern your use of Sepia, provided by Sepia Labs LLC (“Sepia Labs”, “we”, “us”), a Florida limited liability company. By creating an account or using the service, you agree to them. If you are agreeing on behalf of a business, you confirm you have authority to bind it, and “you” means that business.
1. What Sepia is
Sepia is a customer-relationship and business-operations platform. It provides tools for contacts, scheduling, bookings, events, documents, communications, files, invoicing, and AI assistance. We license it to you as a service; we do not sell you a copy of it.
Sepia workspaces are for business or professional use — running your own business or working for one — not for personal, family or household use. Sepia is intended for businesses located in the United States and is governed by U.S. law (Florida law; see section 18). Text messaging is available only for U.S. phone numbers. If you use Sepia from outside the United States, you do so on your own initiative and are responsible for following the laws that apply where you are.
2. Your account
- You must provide accurate information and keep it current.
- You are responsible for your account credentials and for everything done under your account, including by your team members.
- To open a business account — a workspace, an organizer space, or a seat on someone else’s team — you must be at least 18 and able to form a binding contract.
- A Lava Lamp account used only to buy and keep event tickets is a personal account: you must be at least 13. If you are under 18, you confirm that a parent or guardian has agreed to these Terms for you.
- You confirm your age when you create an account, and we keep a record of that confirmation.
- Tell us promptly at info@sepialabs.ai if you suspect unauthorized access.
3. Your data stays yours
You own the data you and your team put into Sepia — contacts, records, documents, files, messages, and everything else (“Your Data”). You grant us a limited licence to host, process, transmit, and display it strictly to operate and support the service for you. We do not sell Your Data and we do not use it to train AI models for our own purposes.
4. Your responsibilities for other people’s data
This is the part that matters most, because Sepia holds information about people who never signed up with us. You are the controller of the personal information you put into your workspace. You are responsible for:
- Having a lawful basis to collect and process it.
- Providing your own privacy notice to your clients, guests, and contacts.
- Obtaining consent where the law requires it — in particular for marketing email, SMS, and call recording.
- Honouring opt-outs and deletion requests you receive.
- Complying with applicable law, including CAN-SPAM, TCPA, state privacy laws, and all-party call-recording rules where they apply.
Sepia gives you tools. It does not decide whether a particular message, recording, or collection is lawful. That judgment is yours.
5. Acceptable use
You may not use Sepia to:
- Send unsolicited bulk messages, or message anyone who has not consented or who has opted out.
- Break the law, infringe intellectual property, or violate anyone’s privacy.
- Upload malware, or attempt to breach, probe, or overload the service.
- Circumvent access controls, rate limits, usage metering, or plan limits.
- Reverse engineer, resell, or white-label the service except under a separate written partner agreement.
- Store payment card numbers, government identifiers, or health records in free-text fields.
- Impersonate anyone, or misrepresent who a message is from.
We may suspend access for fraud, abuse, carrier or provider complaints, non-payment, or a credible security risk. Where practical we will tell you first; where the risk is immediate we may act first and tell you promptly.
6. Fees, subscriptions, and usage
- Subscription fees are billed in advance on a recurring basis, and renew automatically until cancelled: each plan is charged when you subscribe and again every month until you cancel. The price is shown before you subscribe, and we email you the renewal terms and how to cancel when you do.
- Usage-based services are billed separately from your subscription. These include AI generation, SMS and voice, email volume above plan allowances, and storage. Provider costs are passed through.
- You can cancel at any time, online, in Settings → Billing — no call or email needed. Your plan runs to the end of the period you paid for, then stops.
- Except where law requires otherwise, fees already paid are non-refundable, and we do not pro-rate partial periods: there are no partial refunds.
- Credits you buy don’t expire while your account is open.
- Prices may change. We will give notice before a change affects a renewal.
- Unpaid amounts may lead to suspension. Non-payment never deletes your workspace: its data stays in place while the account is suspended, and you can bring it current, export your data or delete the workspace yourself.
7. Payments you take from your own customers
If you accept payments through Sepia, you connect your own Stripe account and agree to Stripe’s terms. You are the merchant of record for your own sales. You receive the funds, you set your own refund and cancellation policy, and you are responsible for refunds, chargebacks, and disputes. We may collect a platform fee, disclosed in your plan. We are not a party to the transaction between you and your customer.
8. AI features
- AI output is generated by third-party models and can be wrong, incomplete, or misleading.
- Review AI output before you rely on it, and never treat it as legal, financial, medical, or tax advice.
- You are responsible for anything you send or publish that AI helped produce.
- Content you submit is sent to model providers to fulfil your request, as described in the Privacy Policy.
- AI usage consumes credits and is billed as usage.
9. Third-party services
Sepia connects to services we do not control — Stripe, Twilio, SendGrid, Google, Meta, Intuit, and others. Your use of them is governed by their terms, and we are not responsible for their availability, acts, or omissions. If one changes or withdraws its service, the related Sepia feature may change or stop.
10. Availability
We work to keep Sepia available and reliable, but we do not currently offer a contractual uptime commitment. Maintenance, provider outages, and incidents can interrupt the service.
11. Export and deletion
- You can export core records from the product while your account is active.
- You may request deletion of your account by contacting info@sepialabs.ai.
- After termination we retain Your Data for a limited period so you can retrieve it, then delete it, except where we must keep records by law. Backups age out on their own schedule.
- Cancelling a subscription does not delete your data. Export it before you ask us to close your account; do not rely on retrieving it afterwards.
12. Intellectual property
Sepia, its software, design, and brand are owned by Sepia Labs. These Terms grant no right to our trademarks. Feedback you send us may be used freely and without obligation.
13. Disclaimers
Except where law forbids it, the service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI output will be accurate.
14. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim is limited to the amount you paid us in the twelve months before the event giving rise to it. Some jurisdictions do not allow these limits, so they may not apply to you.
15. Indemnity
You will defend and indemnify Sepia Labs against claims arising from Your Data, your use of the service, your messaging and recording practices, or your breach of these Terms — including claims brought by your own clients, guests, or contacts.
16. Termination
You may stop using Sepia at any time. We may suspend for non-payment, and suspend or terminate for breach or legal risk. Sections that by their nature should survive — ownership, fees owed, disclaimers, liability limits, and indemnity — survive termination.
17. Changes to these Terms
We may update these Terms. We will revise the date above and, for material changes, give notice. Continuing to use Sepia after a change means you accept it.
18. Governing law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. The exclusive venue for disputes is Miami-Dade County, Florida.
19. Contact
We aim to respond to support and billing email within 2 business days.
